ENTRANTS MUST NOT ENGAGE IN ANY VIOLENT, DANGEROUS, OR ILLEGAL BEHAVIOR IN CREATING AN ENTRY. THE RELEASED PARTIES (AS DEFINED IN SECTION 8) ARE NOT RESPONSIBLE FOR INJURY OR DAMAGE TO PERSONS OR PROPERTY WHICH MAY BE CAUSED, DIRECTLY OR INDIRECTLY, IN WHOLE OR IN PART, FROM PARTICIPATION IN THE PROMOTION.
1. ELIGIBILITY: The Sport Clips® “Your MVP Moment” 2011 Promotion (the “Promotion”) is open only to individuals who are living within, and are legal residents of, the 48 contiguous United States and the District of Columbia, who are at least 18 years of age (or the age of majority in their jurisdiction of residence, whichever is greater) as of the date of entry, and who did not purchase any equipment (e.g., video camera, editing software, etc.) for purposes of entering the Promotion. Employees, officers and directors of Sport Clips, Inc. (“Sponsor”), Promotion Mechanics, Inc. (“Administrator”) their parents, subsidiaries, franchisees, affiliates, advertising/promotion agencies, promotional suppliers, and the immediate family members (spouse, siblings, and children, regardless of where they live) or members of the same households (whether related or not) of such employees, officers and directors are not eligible. Void in Puerto Rico, Rhode Island, and where prohibited by law.
2. ENTRY PERIOD/PROGRAM DESCRIPTION: The Promotion begins at 12:00:00 A.M. Eastern Time (“ET”) on March 13, 2011, and ends at 11:59:59 P.M. ET on April 9, 2011, (the “Entry Period”). The Promotion consists of a Video Contest, a Photo Contest, and a Sweepstakes, as defined below.
3. VIDEO CONTEST:
3a. HOW THE VIDEO CONTEST WORKS: The Video Contest provides an opportunity for entrants to create an original video of up to two (2) minutes in length which demonstrates an intentional or unintentional act or athletic occurrence that proves that “it’s good to be a guy”. See Section 3c for further entry details. Video Contest entries must NOT contain or depict anything in a manner that is inappropriate or prohibited as outlined in Section 3d. You must obtain written permission from anyone other than yourself who appears in (or films) your video, as outlined in Section 3e. Sponsor may post your video at www.sportclipsmvp.com and other websites. Video entries may be rated by visitors during the Entry Period; however, any visitor ratings during the Entry Period are for entertainment purposes only and DO NOT affect winner determination. To determine the Grand Prize winner, Video Contest entries will be judged according to the process and criteria set forth in Section 3g.
3b. TO ENTER THE VIDEO CONTEST: Prior to entering the Video Contest, you must create a registered user account at www.youtube.com, and agree to all applicable terms at that site. There is no fee or charge to become a registered user of YouTube. YouTube is not a sponsor of this Promotion. To enter the Video Contest, create an original video of not more than two (2) minutes in length which demonstrates an intentional or unintentional act or athletic occurrence that proves that “it’s good to be a guy”. Refer to Rules 3c-3e below for more details regarding the requirements for your video. Once your video is complete, access your YouTube account, upload the video, and note the unique URL that YouTube has given your video. Then visit www.sportclipsmvp.com (the “Website”) during the Entry Period, follow the on-screen instructions to complete the online entry form and provide the unique YouTube URL for your video, and submit your entry so that it is received by Sponsor’s server no later than 11:59:59 P.M. ET on April 9, 2011 (each such submission, a “Video Contest Entry”). hYou may enter as often as you wish, but each Video Contest Entry must be different, must meet all requirements and must be submitted separately. The same video may only be entered in the Video Contest once. Duplicate Video Contest Entries will be void. Video file size limitation and file format must adhere to YouTube specifications. In order for your Video Contest Entry to be considered for judging, you must maintain your YouTube account in good standing and you must continue to host your video through June 30, 2011 at the same URL disclosed in your Video Contest Entry.
3c. VIDEO CONTEST ENTRY REQUIREMENTS: Video Contest Entries may not contain any copyrighted elements other than elements owned by the entrant. Any elements that appear in the Video Contest Entry, including, without limitation, logos, images, music, audio, speech, or other audiovisual materials used must be either: [a] entirely original, created by the entrant; [b] property of the Sponsor; or [c] in the public domain. Use of any other elements will result in disqualification of a Video Contest Entry, in the Sponsor’s sole discretion. Video Contest Entries must be in English. Video Contest Entries must not contain personally identifiable information such as last names, addresses, phone numbers, screen names, email addresses, etc. Entrants must not engage in any violent, dangerous, or illegal behavior in creating a Video Contest Entry. Video Contest Entries must not contain inappropriate content, including but not limited to vulgarity, obscenity, lewd, pornographic or violent material, or materials which promote violence. Video Contest Entries must not defame or invade the privacy or publicity rights of any person, living or deceased, or otherwise infringe upon a person’s personal or proprietary rights. Video Contest Entries that do not include all required information and do not adhere to the foregoing and following requirements will be considered void and will not be considered in the judging of the Video Contest. Video Contest Entries that are deemed by Sponsor in its sole discretion to be immoral, obscene, profane or not in keeping with Sponsor’s image will be disqualified.
3d. ENTRANT’S REPRESENTATIONS: By submitting a Video Contest Entry, you represent and warrant that (a) you are the creator of the Video Contest Entry, (b) the Video Contest Entry is wholly original (apart from any allowable public domain or Sponsor-owned elements), (c) the Video Contest Entry does not infringe the intellectual property, privacy or publicity rights or any other legal or moral rights of any third party, (d) the Video Contest Entry has not previously been entered in any other contest, (e) apart from YouTube, the Video Contest Entry has not been previously published in any medium, and (f) you own all rights to your Video Contest Entry (including, without limitation, the copyrights in the recording and the performance contained therein, and excluding any allowable public domain or Sponsor-owned elements).
3e. VIDEO CONTEST ENTRY PERMISSIONS: By submitting a Video Contest Entry, you further represent and warrant that you have obtained written permission from each person whose name, image, likeness and/or voice (“Likeness”) is included in the Video Contest Entry, that such person(s) have granted you all necessary rights to use the person’s Likeness as described in these rules, and that you can and will give written copies of such permissions to the Sponsor upon request. If your Video Contest Entry includes the Likeness of a person who is under the age of 18 or under the age of majority in his/her jurisdiction of residence, whichever is greater (a “Minor”), such grant of rights must include written permission from the Minor’s parent or legal guardian, authorizing the use of the Minor’s Likeness on behalf of the Minor. Further, if the submitted video was filmed by anyone other than you, you represent and warrant that such person(s) have granted you all rights to the video, and that you can and will give written copies of such permissions to the Sponsor upon request. Sponsor’s determination as to whether any Video Contest Entry potentially violates the rights of any third party is final.
3f. RIGHTS TO VIDEO CONTEST ENTRIES: Video Contest Entries and other submitted material become the property of Sponsor and will not be acknowledged or returned. By submitting a Video Contest Entry, you grant the Sponsor and its affiliated companies the unconditional and perpetual right and permission to reproduce, encode, store, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, modify, create derivative works of, exhibit, and otherwise use the Video Contest Entry or part thereof (with or without using your name) in any media throughout the world for any purpose, without limitation, and without additional review, compensation, or approval from you or any other party. You agree that, upon request by the Sponsor, you will sign a copyright assignment, provide a digital copy of your Video Contest Entry in native format, and remove your video from YouTube. By submitting a Video Contest Entry, you further agree not to instigate, support, maintain, or authorize any action, claim, or lawsuit against the Released Parties (as defined below), or any other person or entity, on the grounds that any use of the Video Contest Entry, or any derivative works, infringes any of your rights, including, without limitation, copyrights and moral rights. You further acknowledge that unless your entry is chosen as the Video Contest winner, the Sponsor is in no way obligated to broadcast, publish or use your Video Contest Entry in any way. Nothing herein shall constitute an employment, joint venture, or partnership relationship between you and the Sponsor. In no way are you to be construed as the agent or to be acting as the agent of the Sponsor.
3g. VIDEO CONTEST JUDGING/WINNER DETERMINATION: On or before June 30, 2011, all eligible Video Contest Entries will be judged by Sponsor’s designated judges using the following criteria: (a) Adherence to “It’s good to be a guy” theme (25%), (b) Creative Appeal (25%), (c) Uniqueness (25%), and (d) Suitability for Inclusion in Sport Clips Advertising (25%). In the event that an otherwise eligible Video Contest Entry is too long, Sponsor reserves the right to consider only the first two (2) minutes of such a Video Contest Entry for judging, in its sole discretion. In the event of a tie, the tie will be broken based on the highest Creative Appeal score. The judges’ decisions are final and binding. The highest scoring Video Contest Entry will be deemed the Grand Prize winner, pending verification of eligibility and continued compliance with these Official Rules. Sponsor reserves the right in its sole discretion not to award the Video Contest Grand Prize if no eligible Video Contest Entries of sufficient quality are received.
3h. GRAND PRIZE: One (1) Grand Prize will be awarded via the Video Contest: $10,000 cash, awarded in the form of a $10,000 check made payable to the winner. The Grand Prize winner will also have the opportunity for a portion of his/her winning Video Contest Entry to be incorporated or recreated into one of Sponsor’s television advertisements. There is no monetary value associated with the use of any portion of the winning entry in such advertisements or at any other time. Sponsor makes no guarantees regarding where, when, or how many times such advertisement will be broadcast. Sponsor reserves the right to require additional releases or documentation it deems necessary prior to any such broadcast of any portion of the (potential) Grand Prize winner’s video. Approximate Retail Value (“ARV”) of the Grand Prize is $10,000.
4. PHOTO CONTEST:
4a. HOW THE PHOTO CONTEST WORKS: The Photo Contest provides an opportunity for entrants to take an original photograph of themselves with a Sport Clips “MVP Trophy”, available at participating Sport Clips locations. Photo must be taken inside or in front of the exterior of a Sport Clips store. The photograph should attempt to depict the essence of why “it’s good to be a guy”. See Section 4c for further entry details. Photos must NOT contain or depict anything in a manner that is inappropriate or prohibited as outlined in Section 4d. You must be the only person appearing in your Photo, and you must obtain written permission from anyone other than yourself who takes your Photo, as outlined in Section 4e. Sponsor may post your Photo at www.sportclipsmvp.com and other websites. To determine the winners, Photo Contest Entries will be judged according to the process and criteria set forth in Section 4g.
4b. TO ENTER THE PHOTO CONTEST: To enter the Photo Contest, visit a participating Sport Clips location during the Entry Period, and take a picture of yourself with the Sport Clips “MVP Trophy”. Your photograph should attempt to depict the essence of why “it’s good to be a guy”. Refer to Rules 4c-4d below for more details regarding the requirements for your Photo. Email a digital version of your Photo along with your name and phone number to MVPTrophy@SportClips.com, to be received by Sponsor’s server no later than 11:59:59 P.M. ET on April 9, 2011 (each such submission, a “Photo Contest Entry”). Limit one (1) Photo Contest Entry per Week (as defined in Section 4f below). The same Photo may only be entered in the Photo Contest once. Duplicate Photo Contest Entries will be void.
4c. PHOTO CONTEST ENTRY REQUIREMENTS: Photos must be submitted in .jpeg/.jpg, .gif, .png, or .bmp format and must be ten (10) Mb or less in file size. Photos must not be altered or manipulated, except for cropping, red eye removal and adjustment for color and brightness. Photos may be color or black and white. Photo Contest Entries may not contain any copyrighted elements other than elements owned by the entrant or by Sponsor. Any elements that appear in a Photo Contest Entry, including, without limitation, logos, images, or other materials used must be either: [a] entirely original, created by the entrant; [b] property of the Sponsor; or [c] in the public domain. Use of any other elements will result in disqualification of a Photo Contest Entry, in the Sponsor’s sole discretion. Sponsor’s determination as to whether any Photo Contest Entry potentially violates the rights of any third party is final.

You further acknowledge that unless your Photo Contest Entry is chosen as a winner, the Sponsor is in no way obligated to broadcast, publish or use your Photo Contest Entry in any way. Nothing herein shall constitute an employment, joint venture, or partnership relationship between you and the Sponsor. In no way are you to be construed as the agent or to be acting as the agent of the Sponsor.
4f. PHOTO CONTEST ENTRY/JUDGING DATES:

In the event of a tie, the tie will be broken based on the highest Creative Appeal score. The judges’ decisions are final and binding. The highest scoring Photo Contest Entry submitted during each Week will be deemed a First Prize winner, pending verification of eligibility and continued compliance with these Official Rules. Sponsor reserves the right in its sole discretion not to award a Photo Contest prize if no eligible Photo Contest Entries of sufficient quality are received during a particular Week.
4h. FIRST PRIZE: For each Week of the Photo Contest, one (1) First Prize will be awarded: $1,000 cash, awarded in the form of a $1,000 check made payable to the winner. Further, each winning Photo Contest photo may be used as the avatar for the Sport Clips Facebook page for approximately one (1) week following the date a First Prize winner is determined, in Sponsor’s sole discretion. There is no monetary value associated with the use of any Photo Contest photo in this manner. Limit one (1) First Prize per household. Total ARV of all First Prizes is $4,000.
5. SWEEPSTAKES:
5a. HOW THE SWEEPSTAKES WORKS: Eligible entrants may enter the Sport Clips “Your MVP Moment” Trivia Sweepstakes (the “Sweepstakes”) by answering a multiple-choice trivia question of the day presented at the Sport Clips Facebook page. Trivia answers do not need to be correct in order to earn a Sweepstakes entry. A daily Second Prize winner will be drawn from among all eligible Sweepstakes entries received for each day of the Sweepstakes (12:00:00 A.M. ET through 11:59:59 P.M. ET on a single calendar day).
5b. TO ENTER: You can enter the Sweepstakes through the Sport Clips MVP Moment application on the Facebook Platform. You can find the application “MVP Moment” listed on the sidebar under the profile picture of the Sport Clips page on Facebook (http://www.facebook.com/SportClipsHaircuts). You must complete and submit the entry form as instructed. As part of the Sweepstakes entry process, entrants may be required to “Like” the Sport Clips page on Facebook, and entrants must indicate that they have read, accept, and agree to be bound by these Official Rules. Sweepstakes entries must be received no later than 11:59:59 P.M. ET on April 9, 2011, and will be disqualified if they are late, incomplete, and/or in excess of the stated entry limits. There is a limit of one (1) Sweepstakes entry per person/email address, per day, regardless of means of entry. Any use of automated or programmed methods of effecting entry online is prohibited and may, at the discretion of the Sponsor, disqualify an entrant from participating in the Promotion or receiving a prize.
5c. SWEEPSTAKES RANDOM DRAWING/ODDS: On or about the first business day following a day that the Sweepstakes is offered, Sponsor will conduct a random drawing from among all eligible entries received for a particular day of the Sweepstakes to determine one (1) Sweepstakes Second Prize winner. Odds of winning depend on the number of eligible entries received for each day of the Sweepstakes. Sweepstakes entries will not be carried forward to subsequent daily drawings.
5d. SWEEPSTAKES SECOND PRIZES: For each of the twenty-eight (28) days of the Entry Period, one (1) Second Prize will be awarded via the Sweepstakes: $100 cash, awarded in the form of a check made payable to the winner. Limit one (1) Second Prize per household. Total ARV of all Second Prizes is $2,800.
6. ADDITIONAL PRIZE DETAILS AND RESTRICTIONS: All taxes on prizes and all expenses related to acceptance and use of prizes and not specified are sole responsibility of the prize recipients. No prize transfer or cash redemption. No prize substitution, in whole or in part, except by Sponsor due to prize unavailability, safety or security considerations, or any other reason as solely determined by Sponsor in which case a prize of comparable or greater value will be awarded. Any prize details not specified above will be determined by the Sponsor in its sole discretion. Prize recipients will be notified by email, phone, postal mail and/or express mail at Sponsor’s sole discretion. Prize recipients may be required to complete an affidavit of eligibility, a liability release, copyright assignment and (where legal) a publicity release, which must be returned within seven (7) days of attempted notification or an alternate winner may be selected. Inability to contact a winner, the return of any prize notification as undeliverable, or failure by winner to return required documents within the timeframe specified in winner’s notification letter will result in the prize being forfeited and awarded to an alternate winner. Further, Sponsor reserves the right to require potential winners to submit to a confidential background check to confirm eligibility as a condition of participation, to help ensure that the use of any such person in advertising or publicity will not bring the Sponsor into public disrepute, contempt, scandal or ridicule or reflect unfavorably on the Promotion, as determined by Sponsor in its sole discretion.
7. GENERAL CONDITIONS: Participation in the Promotion constitutes entrant’s full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsor and Administrator, which are final and binding. Entries and entry information becomes the exclusive property of Sponsor upon submission. Sponsor is under no obligation to correspond about entries nor will entries be acknowledged or returned. Proof of delivery will not be deemed to be proof of actual receipt by Sponsor. In the event that the operation, security, or administration of the Promotion is impaired in any way for any reason, including, but not limited to fraud, virus, or other technical problem, the Sponsor may, in its sole discretion, either: (a) suspend the Promotion to address the impairment and then resume the Promotion in a manner that best conforms to the spirit of these Official Rules; (b) award the prizes from among the eligible entries received up to the time of the impairment; or (c) to proceed in such a manner as may be deemed fair and equitable by Sponsor in its sole discretion. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Promotion or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner, and to disqualify any entries or votes submitted by such an individual. CAUTION: ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE THE PROMOTION SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. The Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Screen shots or any other evidence of entry submission will not be deemed receipt of any such entry. In the event of a dispute as to any online entry, the authorized account holder of the email address used to participate will be deemed to be the participant. The “authorized account holder” is the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted email address. Internet entry must be made by the entrant only at the authorized web site address(es) listed in these Official Rules. Entries may not be made by any other individual or any entity, and/or originating at any other Internet website or email address, including but not limited to commercial sweepstakes subscription notification and/or entering service sites.
8. RELEASE AND LIMITATIONS OF LIABILITY: By participating in the Promotion, you agree to release, discharge and hold harmless: Sponsor, Administrator, YouTube, and Facebook; their parents, subsidiaries, franchisees, affiliates, advertising/promotion agencies, and promotional suppliers; and the respective officers, directors, employees, and agents of each (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Promotion or receipt or use/misuse of any prize, including, but not limited to: (a) unauthorized human intervention in the Promotion; (b) technical errors related to computers, servers, providers, or telephone or network lines; (c) printing errors or any errors made in the advertisement of the Promotion; (d) lost, late, postage-due, misdirected, or undeliverable mail; (e) errors in the administration of the Promotion, the processing of entries, or the announcement of prizes; (f) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Promotion or receipt of any prize; or (g) any condition caused by events beyond the control of the Sponsor that may cause the Promotion to be disrupted or corrupted. You further agree that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Promotion, and in no event shall the Released Parties be liable for attorney’s fees. You hereby waive the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages. Released Parties expressly disclaim any responsibility or liability for injury or loss to any person or property resulting from the Promotion or relating to the delivery and/or subsequent use or misuse of any prizes awarded.
9. INDEMNITY: You agree to indemnify and hold the Released Parties harmless from any and all claims, damages, expenses, costs (including reasonable attorneys’ fees) and liabilities (including settlements), brought or asserted by any third party against any of the Released Parties due to or arising out of your entry, or your conduct in creating an entry or otherwise in connection with this Promotion, including but not limited to: claims for trademark infringement; copyright infringement; violation of an individual’s right of publicity or right of privacy; or defamation.
10. PUBLICITY: By submitting an entry, you grant to Sponsor and its affiliated companies the right, except where prohibited by law, to use your name, likeness, picture, address (city and state), voice, biographical information, entry and written or oral statements, for advertising and promotional purposes in promoting or publicizing the Promotion, Sponsor, its affiliated companies, and the products or services of each, in any and all media without limitation as to time or territory, without compensation unless required by law. You shall have no right of approval, no claim to compensation, and no claim (including, without limitation, claims based on invasion of privacy, defamation, or right of publicity) arising out of any use, blurring, alteration, or use in composite form of your name, picture, likeness, address (city and state), biographical information, or entry.
11.
